The Minister of Economic Development and Trade forecasts the completion of formation of the Supervisory Board of the National Joint Stock Company “Naftogaz of Ukraine” till April, he said to journalists, Economic Truth reports.
“The Supervisory Board of “Naftogaz” will be formed till the end of March. This is the touchstone of the reform of corporate management by state companies in Ukraine”, he said.
The Supervisory Board of “Naftogaz” will reportedly consist of 5 members, 3 out of which will be independent, and 2 – appointed by the state.
The Supervisory Board will consist of 3 committees: appointments and promotions committee, auditing committee and ethics committee.
The candidates for posts of independent members of the supervisory board will be selected by the committee on appointment of chief managers, especially important for economy of companies, which includes 5 ministers and 5 independent members of international financial institutions.
The Supervisory Board is approved by the Ministry of Economy.
Till April 2017 the authorities of the Supervisory Board will be limited, in particular, the general shareholders meeting will appoint the management board and approve financial and investment plans of the company.
Since April 2017 these authorities will be delegated to the Supervisory Board.
