The antimonopoly committee of Ukraine permitted the horizontal and vertical merger of Bayer Aktiengesellschaf and Monsanto Company on the protection chemicals market of   plants, agricultural crop and vegetable seeds, according to the press office of the Antimonopoly Committee, EP reports.

It is noted that when hearing the case, about 20 competitors, 15 distributors, 5 experts and 7 direct consumers were surveyed.

As the result of hearing, AMCU concluded that the concentration unites two different, but complementary, businesses. The joint scientific and research capabilities of Bayer and Monsanto will create a significant potential for implementation of innovative products, more efficient satisfaction of clients’ needs, and will contribute to further improvement of products, offered by the participants of the concentration.

Through such combination, the end users will be able to obtain significant and long-term benefits, in particular: to expand the sources of supplies, to improve the ease of use of products and crop yields, to protect the environment more efficiently and use resources rationally.

AMCU also noted that the concentration may contribute to the growth, innovations and stability of manufacturing of food products around the globe and will have positive influence on the global supplies of food products and their quality.

Meanwhile, the Antimonopoly Committee noted that the concentration may lead to the distortion of competition through limiting the access to the distribution market of protection chemicals of the plants and seeds of agricultural crops and vegetables of other manufacturers of such commodities.

Accordingly, AMCU necessitated the provision of a permission for specified concentration through the fulfillment of certain obligations by the participants, related to non-creation of barriers to access to markets or elimination of distribution of protection chemicals of plants and seeds of the agricultural crops and vegetables of other manufacturers.
